End User License Agreement
HR Module Application
Please read this End User License Agreement (“EULA”) carefully before purchasing a subscription for the HR Module application and subsequently downloading and using it.
By purchasing a subscription and/or downloading and using the HR Module application, you agree without reservation to be bound by the terms of this EULA. If you do not agree with the terms of this EULA, please do not purchase a subscription and/or download and use the HR Module application.
If you accept the terms and conditions in this EULA on behalf of a company or other legal entity, you warrant that you have full legal authority to accept the terms and conditions in this EULA on behalf of such company or other legal entity, and to legally bind such company or other legal entity.
You may not accept this EULA if you are not of legal age to form a binding contract with Reyada.
1. Definitions
In this EULA the following expressions shall have the meanings assigned to them below, unless the context requires otherwise:
- “Confidential Information”— any and all information disclosed by Reyada to You, whether written, electronic, or oral, that is confidential, proprietary, or relates to business, technical, financial, customer, supplier, or product-related matters.
- “Documentation” — the detailed information about the HR Module, its features, and system requirements as made available on Reyada’s website or Bitrix24 marketplace, as amended from time to time.
- “Subscription” — the license for the HR Module application for the term specified on the marketplace webpage where You purchase the subscription, or in any applicable agreement.
- “Updates” — any modified versions, updates, or additions to the HR Module (excluding major upgrades outside the purchased subscription plan).
- “Use” — to access, download, install, copy, or benefit from using the HR Module in accordance with the Documentation.
- “Reyada” — Reyada Business Services & Consulting Co., 9 Gaber Ibn Hayan, Nasr City, Cairo, Egypt.
- “You” — the final and ultimate user of the HR Module or the authorized representative of a company or entity that will be the final user of the HR Module.
1. This EULA applies to any subscriptions granted to You by Reyada for the use of the HR Module.
2. By purchasing a Subscription and/or downloading and using the HR Module, You enter into this EULA with Reyada.
3. Reyada may modify this EULA from time to time without prior notice. Updated terms will become effective upon posting.
3. Subscription
1. Reyada grants You a non-exclusive, non-transferable, non-sublicensable, limited, revocable license to Use the HR Module in accordance with this EULA.
2. Reyada retains all ownership and intellectual property rights in the HR Module. No ownership rights are transferred to You as a result of purchasing the Subscription or using the HR Module.
4. Permitted Use and Restrictions
1. To install and use the HR Module, You must have an active Bitrix24 commercial subscription and Internet access.
2. You agree not to:
* Rent, lease, lend, sell, redistribute, sublicense, or otherwise commercially exploit the Subscription.
* Assign or transfer the Subscription without prior written approval from Reyada.
* Use the HR Module for unlawful purposes or to facilitate illegal activities.
* Delete, alter, or obscure disclaimers, copyright notices, or proprietary labels.
* Copy, adapt, translate, decompile, reverse engineer, disassemble, attempt to derive source code, or create derivative works of the HR Module, except where permitted by law.
* Disclose Confidential Information unless required by law.
3. Reyada may modify the HR Module at its sole discretion, including Updates for compliance, bug fixes, or improvements.
5. Maintenance and Support
1. Reyada will notify You of available Updates.
2. Updates are provided free of charge during the initial twelve (12) months of the Subscription. Renewal or additional subscription may be required to continue receiving Updates.
3. Major upgrades may require an additional fee.
4. Maintenance and support are provided on an “as is” and “as available” basis without warranty.
5. This EULA governs all Updates provided.
6. Use of Data
1. Reyada may collect technical data related to Your use of the HR Module, such as version and system information, to improve services and facilitate support.
2. Reyada may process personal data to the extent necessary for providing the Subscription, support, and compliance with legal obligations, in accordance with applicable data protection laws.
7. Disclaimer
1. You use the HR Module at your own risk.
2. The HR Module and related Documentation are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose or accuracy of information.
8. Limitation of Liability
1. Reyada’s liability and that of any third party involved in the HR Module shall not exceed the total fees paid by You to Reyada in the preceding twelve (12) months.
2. Under no circumstances will Reyada be liable for indirect, incidental, or consequential damages (including lost profits, data loss, or business interruption).
9. Termination
1. This EULA remains in force until expiry or termination of the Subscription.
2. The Subscription terminates automatically at the end of the license term unless renewed.
3. Reyada may terminate the Subscription immediately if You fail to comply with this EULA, fail to pay fees, or if required by law.
4. Upon termination, You must cease all use of the HR Module.
5. Provisions intended to survive termination (e.g., confidentiality, liability limits) shall remain in effect.
10. Governing Law and Disputes
1. This EULA shall be governed by and construed in accordance with the laws of Egypt, excluding conflict of law rules.
2. Any disputes shall be exclusively submitted to the competent courts of Egypt.
